5. Prices and taxes

Prices are stated in euros, excluding taxes (excl. VAT). French VAT at the applicable rate (20% on the date of publication of these Terms) is added to the amount excl. VAT when the invoice is issued, except in cases of reverse charge for Clients subject to VAT in another European Union member state who provide a valid EU VAT number.

The Provider reserves the right to change its prices at any time. New prices apply only to new orders. For ongoing subscriptions, any price change will be notified to the Client by email at least 30 calendar days before it takes effect. The Client retains the right to cancel its subscription before that date under the conditions set out in Article 7.

6. Orders and payment

6.1 Orders

All orders are placed online through the secure payment links issued by Stripe and accessible from the mateamia.com website. The order is firm and final upon the payment confirmation received by email from Stripe.

6.2 Payment methods

Payment is made exclusively by bank card or other payment methods offered by Stripe Payments Europe Ltd. (Apple Pay, Google Pay, Link, SEPA Direct Debit, etc.). The Provider has no access to any of the Client's banking data: the entire payment process is handled directly by Stripe in accordance with PCI-DSS standards.

6.3 Invoicing

An invoice compliant with French legal requirements is issued for each payment and sent to the Client by email. For subscriptions, an invoice is issued at each billing date.

6.4 Payment default

If a payment fails, Stripe automatically makes several further attempts in accordance with its internal policies (Smart Retries). If the situation is not remedied within 15 calendar days following the first failed attempt, the Provider reserves the right to suspend performance of the services without further notice and to terminate the subscription automatically.

In accordance with Article L.441-10 of the French Commercial Code (Code de commerce), any late payment automatically incurs late payment penalties at a rate of three times the French statutory interest rate, as well as a fixed indemnity for recovery costs of €40.

7. Term and termination

7.1 Strategic Audit

The Strategic Audit is a one-off service. No minimum term applies.

7.2 Essential and Growth subscriptions

Subscriptions are entered into for an indefinite period, with no minimum commitment, and are automatically renewed each calendar month by tacit renewal.

The Client may cancel its subscription at any time from the Stripe Customer Portal, accessible via the link sent in its confirmation email, or by email to hello@mateamia.com. Cancellation takes effect at the end of the current billing period. No pro rata refund is made for the current month.

7.3 Termination for breach

In the event of a serious breach by either party of its contractual obligations, the other party may terminate the contract automatically 15 days after sending a formal notice that has remained without effect, by registered letter with acknowledgment of receipt or by email with read receipt.

8. Provider's obligations

The Provider undertakes to:

  • Perform the services with the care and diligence of an experienced professional;
  • Commit the human and technical skills required for the proper performance of the Service;
  • Keep the Client regularly informed of the progress and results of the actions carried out;
  • Preserve the confidentiality of the Client's information in accordance with Article 11;
  • Comply with applicable regulations, in particular the General Data Protection Regulation (GDPR).

The Provider is bound by an obligation of means, not of result. It cannot guarantee any level of sales, SEO ranking, conversion rate or other performance indicator, as these depend on factors over which it does not have exclusive control.

9. Client's obligations

The Client undertakes to:

  • Provide the Provider, within reasonable time, with all access, information and documents required for the proper performance of the services;
  • Appoint a single point of contact with the authority required to approve recommendations and deliverables;
  • Pay the price of the services under the conditions set out in Article 6;
  • Warrant that it holds the necessary rights and authorizations over all content, trademarks, media and data it provides to the Provider;
  • Refrain from harming the image or reputation of the Provider.

If the Client is late in providing, or fails to provide, the necessary elements, the Provider reserves the right to postpone performance deadlines without incurring any liability.

10. Deliverables and intellectual property

10.1 Assignment of deliverables

Subject to full payment of the corresponding price, the Provider assigns to the Client, on an exclusive basis, all economic rights relating to the deliverables produced specifically for the Client (audit reports, written recommendations, specific code, custom configurations).

10.2 Provider's methodology and tools

The Provider retains full ownership of its methodologies, audit frameworks, scorecards, AI agent prompts, analysis scripts and any tool or know-how used to perform the services. The assignment provided for in 10.1 does not extend to these elements, which remain the exclusive property of the Provider.

10.3 Commercial reference

Unless it expressly objects in writing, the Client authorizes the Provider to mention the Client's name and logo as a commercial reference in its communication materials (website, brochures, presentations). The Client may revoke this authorization at any time by simple email.

11. Confidentiality

Each party undertakes to keep strictly confidential all information, data and documents to which it may have access under these Terms, and not to disclose them to third parties or use them for any purpose other than the performance of the contract.

This obligation remains in force for three (3) years from the end of the contract, whatever the reason for its termination. This obligation does not cover information that is already public, lawfully obtained from a third party not bound by confidentiality, or whose disclosure is required by a court decision.

12. Personal data

The processing of personal data under these Terms is governed by our Privacy Policy, which complies with Regulation (EU) 2016/679 (GDPR) and the amended French Data Protection Act (loi Informatique et Libertés). The Client declares that it has read this policy before placing its order.

13. Liability

The Provider may only be held liable in the event of a proven fault on its part in the performance of the services.

In any event, and except in cases of willful misconduct or gross negligence, the Provider's total liability under these Terms, for all damages combined, is expressly limited to the amount actually paid by the Client for the last three (3) months preceding the event giving rise to liability.

Under no circumstances may the Provider be held liable for indirect damages suffered by the Client, in particular loss of revenue, margin, customers, image or data, or damages resulting from actions of third parties (for example algorithm changes by Google, Meta or Shopify, or account suspensions by these platforms).

14. Force majeure

Neither party may be held liable for a failure to perform its obligations resulting from a case of force majeure within the meaning of Article 1218 of the French Civil Code (Code civil). The following are notably considered as such, without this list being exhaustive: major outages of Stripe, Shopify, Cloudflare or of hosting providers essential to the performance of the Service; cyberattacks affecting the infrastructure; decisions by public authorities; nationwide labor disputes; health crises.

15. Changes to these Terms

The Provider reserves the right to amend these Terms at any time. The applicable Terms are those in force on the date of the order. For ongoing subscriptions, any substantial change will be notified to the Client by email at least 30 calendar days before it takes effect. The Client will then have 30 days to cancel its subscription, failing which it will be deemed to have accepted the new Terms.

16. Governing law and dispute resolution

These Terms are governed by French law.

In the event of a dispute relating to the formation, interpretation, performance or termination of these Terms, the parties will seek an amicable solution before taking any legal action.

Failing amicable resolution within 30 days, any dispute will fall under the exclusive jurisdiction of the Commercial Court of Nanterre (Tribunal de commerce de Nanterre), notwithstanding multiple defendants or third-party claims.
